IMPORTANT NOTICE:

These Owner Terms and Conditions (“Owner Terms”) govern your participation in a Caballus horse syndicate.

Horse racing is inherently uncertain, and participation involves a risk of loss, including the possibility of receiving no prize money and no return of capital. Participation is intended to provide an ownership experience and must not be regarded as an investment or a source of guaranteed financial return.

If you are in any doubt as to the suitability of participation, you should seek independent legal, tax, or financial advice before proceeding.

1. INTRODUCTION:

These Owner Terms govern the relationship between Caballus Ltd (“Caballus”, “we”, “us”) and individuals participating as Owners in a Caballus syndicate.

By confirming participation and making payment, you agree to be bound by:

  • these Owner Terms; and
  • the Individual Horse Terms applicable to the relevant Horse (together, the “Agreement”).
    In the event of any inconsistency, the Individual Horse Terms shall prevail.

    2. DEFINITIONS:

    “Horse” – the specific racehorse described in the Individual Horse Terms. “Owner” / “you” – an individual holding a participation interest in a Horse. “Syndicate” – the collective group of Owners in a Horse managed by Caballus.
    “Horse Term” – the duration of the ownership arrangement for a Horse (typically two years unless otherwise stated).

“Management Fee” – the fee payable to Caballus for sourcing, structuring and managing the Syndicate. “Upkeep Fee” – the amount allocated toward training, racing, care, and associated costs of the Horse. “Combined Fee” – the total of the Management Fee and Upkeep Fee payable by an Owner.
“Prize Money” – gross prize money received in respect of the Horse prior to deductions.

“Individual Horse Terms” – the horse-specific terms forming part of this Agreement.

3. ELIGIBILITY:

You must:

  • be at least 18 years of age.
  • have legal capacity to contract; and
  • satisfy any identity or verification checks required by Caballus.
    Caballus reserves the right to refuse participation at its discretion.

    4. STRUCTURE AND OWNERSHIP:
    4.1 Syndicate Management
    Caballus acts as syndicate manager and is responsible for all regulatory, operational and racing decisions in accordance with the Rules of Racing.
    4.2 Legal and Beneficial Position
    The Horse is managed and controlled by Caballus as syndicate manager. Your participation entitles you only to:
  • economic rights (Prize Money and sale proceeds); and
  • access to the ownership experience
    as defined in this Agreement. You do not:
  • acquire legal title to the Horse.
  • acquire shares in Caballus Ltd; or
  • have control over management decisions.
    Nothing in this Agreement creates a partnership, joint venture or fiduciary relationship between Owners.
    4.3 Caballus Interest
    Caballus retains a 5–10% interest in each Horse (as specified), funded independently.

4.4 BHA Registration:

Caballus will act as syndicate manager and will be responsible for all registrations required under the Rules of Racing.

Owners may be registered with the British Horseracing Authority (“BHA”) as members of a syndicate in accordance with applicable rules.

The extent and form of such registration will be determined by Caballus and may vary depending on the structure of the Syndicate and regulatory requirements.

Owners acknowledge that any such registration does not confer control over the management, training, racing, or sale of the Horse, all of which remain under the authority of Caballus as syndicate manager.

5. FEES:

5.1 Combined Fee
Participation requires payment of the Combined Fee in full in advance.

5.2 Upkeep Fee
The Upkeep Fee is allocated toward training and racing costs for:

  • up to two (2) years; or
  • until the Horse is sold
    (whichever occurs first).
    No further payments will be required from Owners. If costs exceed the Upkeep Fee:
  • Owners will not be asked to contribute additional funds.
  • excess costs may be deducted from Prize Money or sale proceeds.

    5.3 Management Fee
    The Management Fee compensates Caballus for sourcing, acquiring and managing the Horse and Syndicate. It is earned upon confirmation of participation.
    5.4 Early Sale and Unused Upkeep
    If the Horse is sold before the end of the Horse Term:
  • unused Upkeep Fee (after liabilities) will be returned pro rata.
  • sale proceeds will be distributed under Section 8.

The Management Fee remains earned.
However, Caballus may, at its discretion, return a portion of the Management Fee, considering:

  • timing of the sale.
  • costs incurred; and
  • services performed.
    Any such determination will be made reasonably and in the interests of the Syndicate.
    5.5 Refunds
    Except as set out above, all payments are non-refundable.

    6. INSURANCE:
    Caballus may arrange insurance at its discretion. Premiums will be paid from the Upkeep Fee. Insurance proceeds will be applied:
  • first toward liabilities; and
  • then for the benefit of the Syndicate (including distribution where appropriate).

    7. PRIZE MONEY:
    7.1 Distribution
    Owners receive Prize Money pro rata to their participation interest. 7.2 Deductions
    Distributions are subject to deductions including:
  • trainer and jockey fees.
  • race entry costs.
  • regulatory deductions.
  • any costs permitted under this Agreement.
    7.3 Payment
    Payments will be made within a reasonable period after receipt by Caballus.
    7.4 Tax
    Owners are responsible for their own tax obligations.
    7.5 VAT

If VAT becomes recoverable in future, any relevant recovery may be credited to the Syndicate.

8. SALE OF THE HORSE:
8.1 Sale
Caballus determines timing and method of sale. 8.2 Proceeds
Sale proceeds will be applied:

  1. sale costs.
  2. outstanding liabilities.
  3. distribution pro rata to Owners and Caballus.

8.3 No Guarantee

No minimum sale price is guaranteed.

9. TRANSFERS:

Owners may not transfer participation without Caballus approval. Caballus may assist in finding a buyer but does not guarantee liquidity.

10. CANCELLATION:
10.1 Cooling-Off
A 14-day cancellation right applies (subject to deductions where applicable). 10.2 After Cooling-Off
No withdrawal or refund is available except:

  • early sale (Section 5.4); or
  • approved transfer.

    11. RISK AND LIABILITY:

    11.1 Risk
    Participation involves material risk including total loss.

11.2 Nature of Participation

This is not an investment product.

11.3 Limitation

Caballus liability is limited to the amount paid by the Owner.

11.4 Exclusions

No exclusion applies to: • fraud

• death or personal injury
11.5 Force Majeure
Caballus is not liable for events beyond its control.

12. DATA AND PRIVACY:

Data is processed in accordance with UK GDPR.
Information may be shared with the BHA for regulatory purposes.

13. PLATFORM AND CONTENT:


13.1 IP
All platform content belongs to Caballus.

    14. GOVERNING LAW:
    These Terms are governed by the laws of England and Wales.

15. GENERAL:

  • Amendments (with notice)
  • Severability
  • No waiver
  • No partnership
  • No third-party rights
